Pitt Law Professors Charles C. Cohen and Peter B. Oh have co-authored Corporate Law and Governance: Principles and Practice, a comprehensive new casebook published by Aspen Publishing in 2025. This first edition blends decades of legal practice and scholarly expertise to provide a dynamic and accessible framework for teaching and learning corporate law.
Charles C. “Chuck” Cohen, Co-Founder of Cohen & Grigsby (now Dentons Cohen & Grigsby) and a Professor of Practice at Pitt Law, brings nearly six decades of experience as an attorney and corporate director to the project. He also has nearly 40 years of academic service; since 1976, he has taught Business Organizations, Securities Regulation, and Corporate Governance at Pitt Law.
Professor Peter B. Oh, W. Edward Sell Fellow and Professor of Law, is widely recognized as a leading scholar in business and corporate law. His work has appeared in top law journals and has been cited by numerous courts, including the Supreme Court of the United Kingdom. Professor Oh is also a two-time recipient of Pitt Law’s Robert T. Harper Excellence in Teaching Award.
Together, Cohen and Oh have produced a casebook that brings both practical insight and academic rigor to the classroom. Designed with students in mind, Corporate Law and Governance: Principles and Practice brings “real world” corporate experience into the classroom with comprehensive coverage of corporate governance, as well as fundamental aspects of corporate law. The book includes:
- Landmark and recent cases from both Delaware and Model Business Corporation Act jurisdictions
- Examination of major modern legislation and regulations in corporate governance, including federal legislation (e.g., Sarbanes-Oxley, Dodd-Frank), state laws, and stock exchange rules
- Anchoring Questions, which offer opportunities to test and reinforce readers’ understanding of the law through application to complex factual patterns based on real-world experience and events
- Traditional Notes and Questions, which feature cutting-edge academic research, notable media commentary, and significant cases related to corporate law and governance
- A focus on real-world applications, including recent developments in Corporate Social Responsibility, Environmental, Social & Governance, Diversity, Equity, & Inclusion, and shareholder activism
- Navigable content accessible to students regardless of prior business or law experience
Professors, practitioners, and students alike will benefit from the authors' thoughtful synthesis of law, policy, and practice, making this a foundational text for boardrooms and professional schools across the country.
